Terms & Conditions

Last updated: October 2026

These Terms & Conditions govern access to and use of the TradesStack platform, applications, website and related services.

By accessing or using TradesStack, you agree to these Terms. If you use TradesStack on behalf of a company or other organisation, you confirm that you are authorised to act on its behalf.

1. About TradesStack

TradesStack is a configurable construction operating platform designed to help construction businesses manage their operations, projects and workflows.

TradesStack may include functionality for estimating, quoting, project management, documents, purchasing, variations, payment claims, timesheets, reporting, artificial intelligence and other construction-related processes.

TradesStack may be configured differently for each customer based on their business requirements.

2. Customer implementations

TradesStack is a managed and configurable platform rather than a standard self-service software product.

A customer's TradesStack implementation may include its own:

  • branding;
  • users and permissions;
  • workflows;
  • templates;
  • project and company data;
  • integrations;
  • AI configuration; and
  • approved customer-specific functionality.

The exact services, functionality, implementation work and commercial arrangements provided to a customer may also be set out in a proposal, order form, statement of work or other agreement between TradesStack and the customer.

Where there is an inconsistency between these Terms and a separately signed customer agreement, the signed customer agreement will take priority to the extent of that inconsistency.

3. Accounts and authorised users

Customers are responsible for determining who is authorised to access their TradesStack environment.

Users must:

  • provide accurate account information;
  • keep their login credentials secure;
  • not share accounts unless expressly permitted;
  • only access information they are authorised to access;
  • notify TradesStack of suspected unauthorised access; and
  • use TradesStack lawfully and in accordance with these Terms.

Customers are responsible for managing their users, roles and permissions unless otherwise agreed with TradesStack.

4. Acceptable use

You must not use TradesStack to:

  • break any applicable law;
  • access another customer's systems or information without authorisation;
  • interfere with the security or operation of the platform;
  • introduce malware or malicious code;
  • attempt to bypass security or access controls;
  • scrape, reverse engineer or reproduce the platform except where permitted by law;
  • use TradesStack to infringe another person's intellectual property or privacy rights; or
  • use the service in a way that could reasonably damage TradesStack or other customers.

We may restrict or suspend access where reasonably necessary to protect TradesStack, its customers, users or infrastructure.

5. Customer data

Customers retain ownership of the business information, project information, documents, files and other data they or their authorised users provide to TradesStack.

The customer grants TradesStack the rights reasonably necessary to host, process, transmit, back up and otherwise use that data for the purpose of providing, maintaining, securing and supporting the TradesStack services.

Customers are responsible for ensuring they have the necessary rights and permissions to upload, store and process information through TradesStack.

TradesStack does not acquire ownership of customer project or business data merely because that information is stored within the platform.

6. Intellectual property

TradesStack and its licensors retain ownership of the TradesStack platform and its underlying intellectual property, including its software, systems, designs, functionality, architecture, documentation and reusable product capabilities.

Unless expressly agreed otherwise in writing, configuring TradesStack for a particular customer does not transfer ownership of the underlying TradesStack platform or its reusable functionality to that customer.

7. Custom development and improvements

Customers may request additional functionality, integrations, workflows or custom development.

The scope, price and delivery of this work may be agreed separately.

Unless otherwise expressly agreed in writing, TradesStack may incorporate general improvements, ideas, functionality and reusable capabilities developed during customer work into the core TradesStack platform.

Customer confidential information, proprietary documents, customer data and customer-specific business information remain subject to the applicable confidentiality and privacy obligations.

Where genuinely customer-specific intellectual property is required, ownership and licensing arrangements may be agreed separately in writing.

8. Artificial intelligence

TradesStack may provide AI-enabled functionality designed to assist users with tasks such as understanding project information, preparing content, analysing information or interacting with data stored within TradesStack.

AI-generated information may be incomplete, inaccurate or unsuitable for a particular purpose.

AI outputs should be treated as assistance rather than professional advice or a substitute for appropriate human review.

Users remain responsible for reviewing and approving AI-generated outputs before relying on them for:

  • pricing or estimating;
  • contractual decisions;
  • payment claims;
  • variations;
  • purchasing;
  • financial decisions;
  • construction methodology;
  • health and safety;
  • compliance; or
  • other important business decisions.

TradesStack does not guarantee the accuracy of AI-generated content.

9. Third-party services and integrations

TradesStack may integrate with third-party software, infrastructure, AI providers or other services.

The availability and operation of those services may be outside TradesStack's direct control.

Where a customer chooses to connect a third-party service, that customer's use of the third-party service may also be subject to the provider's own terms and privacy policies.

TradesStack is not responsible for failures or changes to third-party services that are outside our reasonable control.

10. Fees and payment

Fees may include:

  • implementation and setup fees;
  • recurring subscription fees;
  • AI usage or credits;
  • additional storage or usage charges;
  • integration costs; and
  • custom development or professional services.

The specific fees applicable to a customer will be set out in the relevant proposal, order form, agreement or other commercial documentation.

Unless otherwise agreed, invoices must be paid by their stated due date.

TradesStack may suspend or restrict services where undisputed amounts remain overdue after reasonable notice.

11. Subscription changes

Subscription pricing, functionality or usage allowances may change from time to time.

Where a change materially affects an existing paid customer, TradesStack will provide reasonable notice where appropriate.

Customer-specific pricing or contractual commitments will continue to apply for any agreed fixed period.

12. Availability and maintenance

We aim to provide a reliable and available service but cannot guarantee uninterrupted or error-free operation.

TradesStack may occasionally be unavailable due to:

  • scheduled maintenance;
  • emergency maintenance;
  • software updates;
  • infrastructure failures;
  • third-party service failures;
  • internet or telecommunications issues; or
  • circumstances outside our reasonable control.

We may make changes to TradesStack as the platform develops, including improvements, security updates and changes to functionality.

13. Backups and business continuity

TradesStack may use backups and other safeguards as part of operating the platform.

However, unless specifically agreed otherwise, customers should not treat TradesStack as the sole repository for information that they are independently required by law, contract or internal policy to retain.

14. Construction and professional decisions

TradesStack is a software platform and does not provide legal, accounting, engineering, quantity surveying, health and safety or other regulated professional advice.

Calculations, reports, estimates, AI outputs and other information generated through TradesStack may depend on information entered by users.

Customers remain responsible for reviewing their work and making appropriate professional and commercial decisions.

15. Privacy

Personal information is handled in accordance with the TradesStack Privacy Policy and applicable privacy requirements.

Customers are responsible for ensuring they have an appropriate legal basis for personal information they enter or upload into TradesStack.

16. Confidentiality

Where TradesStack or a customer receives confidential information from the other party, each party must take reasonable steps to protect that information and must not disclose it except:

  • as necessary to provide or receive the services;
  • to employees, contractors or service providers who reasonably require access;
  • with the other party's permission; or
  • where disclosure is required by law.

17. Security

TradesStack uses reasonable technical and organisational measures designed to protect customer information and systems.

Customers are also responsible for maintaining appropriate security practices, including protecting login credentials, managing authorised users and removing access when users no longer require it.

Customers must promptly notify TradesStack if they become aware of suspected unauthorised access or a security incident relating to their TradesStack environment.

18. Suspension

We may temporarily suspend access to TradesStack where reasonably necessary because of:

  • a serious security risk;
  • unlawful or prohibited use;
  • material breach of these Terms;
  • overdue undisputed payments;
  • threats to the operation of the platform; or
  • legal or regulatory requirements.

Where reasonably possible, we will notify the affected customer and work with them to resolve the issue.

19. Termination

Either party may terminate services in accordance with the applicable customer agreement, proposal, subscription arrangement or notice period.

On termination, access to TradesStack may end.

Where appropriate and subject to the applicable agreement, outstanding payments and technical limitations, customers may be provided a reasonable opportunity to export agreed customer data.

TradesStack may retain certain information where reasonably required for legal, security, financial, backup or regulatory purposes.

20. Warranties

To the maximum extent permitted by law, TradesStack is provided on an “as available” basis.

We do not warrant that TradesStack will:

  • always be available without interruption;
  • be completely free from errors;
  • meet every individual business requirement;
  • identify every error in customer data; or
  • produce completely accurate AI-generated outputs.

Nothing in these Terms excludes any guarantee, right or remedy that cannot lawfully be excluded.

21. Limitation of liability

To the maximum extent permitted by law, TradesStack will not be liable for indirect, consequential or special loss, including loss of profit, revenue, opportunity, goodwill or anticipated savings arising from use of the service.

Where TradesStack is liable and that liability can lawfully be limited, the applicable liability limitations may be further specified in the customer's commercial agreement.

Nothing in these Terms limits liability where doing so would be prohibited by applicable law.

22. Indemnity

To the extent permitted by law, a customer is responsible for losses, claims or costs arising from its unlawful use of TradesStack, infringement of third-party rights, or information uploaded to the platform without appropriate authority.

This does not apply to the extent that the relevant loss was caused by TradesStack's own breach, negligence or unlawful conduct.

23. Changes to TradesStack

TradesStack is an evolving product.

We may add, improve, replace or discontinue functionality as the platform develops.

We will take reasonable steps to avoid unnecessarily disrupting important customer workflows and will communicate material changes where appropriate.

24. Changes to these Terms

We may update these Terms from time to time to reflect changes to TradesStack, our business, technology or legal requirements.

The latest version will be made available through our website or services.

Material changes affecting existing customers will be communicated where reasonably appropriate.

25. Governing law

Unless otherwise agreed in writing, these Terms are governed by the laws of New Zealand.

The parties submit to the jurisdiction of the New Zealand courts.
